These Terms and Conditions ("Terms") govern your access to and use of the Care Evidence platform, website, and related services (collectively, the "Services") provided by Vida Solutions L.L.C-FZ ("Company", "we", "us", or "our"), a Limited Liability Company registered under the Meydan Free Zone, Dubai, UAE (Formation Number: 2537836). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

3.1 You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organisation. 3.2 You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not: - Use the Services in any way that violates applicable local, national, or international laws or regulations. - Transmit any unsolicited or unauthorised advertising or promotional material. - Attempt to gain unauthorised access to any part of the Services or its related systems. - Use the Services to store, transmit, or process sensitive personal data without appropriate safeguards in place. 3.3 You are responsible for ensuring that all persons who access the Services through your account are aware of and comply with these Terms.

4.1 To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. 4.2 You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately at info@careevidence.com.au of any unauthorised use of your account. 4.3 We reserve the right to suspend or terminate your account if we reasonably believe there has been a breach of security or misuse of the Services.

5.1 All intellectual property rights in the Services, including but not limited to software, design, text, graphics, logos, and documentation, are owned by or licensed to Vida Solutions L.L.C-FZ. 5.2 You are granted a limited, non-exclusive, non-transferable licence to access and use the Services solely for your internal business purposes, subject to these Terms. 5.3 You must not copy, modify, distribute, sell, or lease any part of the Services, or reverse engineer or attempt to extract the source code of the software, unless you have our written permission or applicable law permits you to do so.

6.1 You retain ownership of all data you upload or submit to the Services ("Your Data"). By submitting Your Data, you grant us a limited licence to store, process, and use Your Data solely to provide and improve the Services. 6.2 We will implement appropriate technical and organisational security measures to protect Your Data. Further details are set out in our Privacy Policy. 6.3 Both parties agree to keep confidential any non-public information disclosed in connection with the Services and not to disclose it to third parties without prior written consent, except as required by law.

7.1 Care Evidence is designed to assist organisations in managing compliance-related activities. However, use of our Services does not guarantee regulatory compliance or a successful inspection outcome. 7.2 You remain solely responsible for ensuring your organisation meets all applicable regulatory, legal, and professional obligations. We are not liable for any compliance failures, regulatory penalties, or inspection outcomes arising from your use of the Services.

8.1 Access to the full features of the Services may require a paid subscription. Pricing, billing cycles, and payment terms will be set out in a separate Order Form or Subscription Agreement. 8.2 All fees are non-refundable except as expressly stated in your Subscription Agreement or as required by applicable law. 8.3 We reserve the right to modify our pricing with reasonable notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

9.1 The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. 9.2 To the maximum extent permitted by applicable law, Vida Solutions L.L.C-FZ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Services. 9.3 Our total aggregate liability to you for any claim arising out of or relating to these Terms shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

10.1 You may terminate your use of the Services at any time by cancelling your account in accordance with your Subscription Agreement. 10.2 We may suspend or terminate your access to the Services immediately and without notice if you breach these Terms or if we are required to do so by law. 10.3 Upon termination, your right to use the Services ceases immediately. We will retain Your Data for a period of 30 days following termination, after which it may be permanently deleted.

11.1 These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC) and the applicable laws of the UAE. 11.2 Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the courts of the DIFC or such other competent court as agreed by the parties.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date, or by emailing you at the address associated with your account. Your continued use of the Services after such notice constitutes your acceptance of the updated Terms.
